These Terms of Service (“Terms”) govern your access to and use of the Celoia meeting intelligence platform and related services (the “Service”) provided by Celoia (“we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.
1. Eligibility
You must be at least 18 years old to use the Service. By using the Service, you represent that you meet this requirement and have the authority to enter into these Terms.
2. Account Registration
To use the Service, you must create an account. You agree to:
- Provide accurate and complete registration information
- Maintain the security and confidentiality of your login credentials
- Promptly notify us of any unauthorized access to your account
- Accept responsibility for all activities that occur under your account
3. Description of Service
Celoia is a meeting intelligence platform that provides:
- Desktop meeting recording and transcription
- AI-powered meeting summaries and insights
- CRM integration to sync meeting data with customer records
- Calendar integration for meeting context
- Screenshot capture and analysis
4. Recording Consent and Compliance
You are solely responsible for:
- Complying with all applicable laws regarding recording, including federal, state, and international laws that may require one-party or all-party consent
- Providing appropriate notice to meeting participants that a recording is taking place
- Obtaining all necessary consents from meeting participants before recording
- Understanding and complying with recording notification requirements in your jurisdiction
We do not verify compliance with recording consent requirements. The Service may include features to help notify participants, but these do not guarantee legal compliance. Consult legal counsel if you are uncertain about applicable requirements.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Record meetings without proper consent
- Upload or transmit malicious code or content
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the Service
- Use the Service to infringe on others' intellectual property rights
- Resell or redistribute the Service without authorization
- Use the Service to harass, abuse, or harm others
6. User Content
6.1 Ownership
You retain ownership of all content you upload, record, or create through the Service (“User Content”), including recordings, transcripts, and notes.
6.2 License to Celoia
You grant us a worldwide, non-exclusive, royalty-free license to use, process, store, and transmit your User Content solely to provide and improve the Service. This includes processing recordings for transcription and generating AI-powered insights.
6.3 Sharing and Access
You control who can access your User Content. We do not guarantee that User Content will never be accessible by unauthorized parties despite our security measures. You acknowledge the inherent risks of storing information electronically.
7. AI-Generated Content
The Service uses artificial intelligence to generate transcripts, summaries, and other outputs. You acknowledge that:
- AI-generated transcripts may contain errors and should not be relied upon as verbatim records
- AI-generated summaries and insights may be inaccurate, incomplete, or contain errors
- You are responsible for reviewing and verifying AI-generated content before relying on it
- AI outputs should be used with appropriate human oversight
We make no warranty regarding the accuracy or completeness of AI-generated content.
8. Third-Party Integrations
The Service allows you to connect third-party services (e.g., Google Calendar, HubSpot, Salesforce). When you enable integrations:
- You authorize us to access and share data with those services as necessary
- Your use of third-party services is governed by their respective terms and policies
- We are not responsible for the actions or policies of third-party services
9. Payment and Subscription
9.1 Fees
Certain features of the Service require a paid subscription. Fees are described on our pricing page and may change with 30 days' notice.
9.2 Billing
Subscription fees are billed in advance on a recurring basis. You authorize us to charge your designated payment method.
9.3 Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. Fees are generally non-refundable except as required by law.
10. Intellectual Property
The Service and its original content, features, and functionality are owned by Celoia and protected by intellectual property laws. Our trademarks and trade dress may not be used without our prior written consent.
11. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and share your information.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- The Service will be uninterrupted or error-free
- Defects will be corrected
- The Service is free of viruses or harmful components
- The results obtained from the Service will be accurate or reliable
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CELOIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
14. Indemnification
You agree to indemnify and hold harmless Celoia and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another.
15. Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the Service ceases immediately.
You may terminate your account at any time through the Service settings or by contacting us.
16. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the “Last Updated” date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
17. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
18. Dispute Resolution
Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.
19. Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
20. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Celoia regarding the Service.
